"Tenzari" means Tenzari Solutions. "Observe" means the software, source code, configuration, example demos and documentation delivered to you on purchase. "You" means the person or company that buys it.
This is an outright, once off sale of Observe. Tenzari sells it once and does not keep it. After delivery, Tenzari has no further obligation to you of any kind. There is no subscription, no maintenance, no hosting and no relationship that continues after the sale.
On receipt of full payment, Tenzari assigns to you all of its right, title and interest in Observe, including the copyright in the source code, documentation and configuration, and any other intellectual property rights in it, worldwide and for the full period of those rights. From that moment you are the owner and may use, change, sell, license or discard Observe as you choose. Tenzari will sign any further written assignment document you reasonably need to record the transfer.
After the sale, Tenzari keeps no copy for use or sale, does not use Observe, and has no rights in it or in anything you build from it. The transfer excludes third party components, which stay under their own licences (see clause 7), and the names, logos and branding of Tenzari, which are not sold.
Observe is provided "as is" and "as available". Tenzari gives no warranty or guarantee of any kind, express or implied, including that Observe is free of errors or security flaws, works with your systems, is fit for any purpose, is complete, or will produce correct, safe or lawful results. Descriptions, screenshots, demos and documentation are illustrations only.
Because Tenzari no longer owns Observe after the sale, it does not provide installation help, support, training, bug fixes, security patches, updates, upgrades or answers to questions after the sale. The documentation included with Observe is all you will receive.
Observe can run commands, connect to your systems, send messages and use artificial intelligence models. You are solely responsible for how it is installed, configured, secured and used, including its access to servers, data and accounts, the output of any model, any action it takes, backups, testing before real use, your own security review, and compliance with the laws that apply to you, including data protection law. You must provide your own model keys and third party accounts. Tenzari does not control those providers and is not responsible for their services, prices or terms.
Observe uses third party software libraries that are licensed to you under their own terms. Those terms apply to those components, and Tenzari gives no warranty on them.
To the fullest extent the law allows, Tenzari is not liable to you or to anyone else for any loss or damage of any kind arising from Observe or from this sale, whether direct, indirect, consequential, special or incidental, including loss of data, profit, revenue, business, goodwill, downtime, security incidents, or actions taken by Observe or by an AI model, and whether the claim is in contract, delict (tort), negligence or otherwise. If a court decides Tenzari is liable despite this clause, its total liability is limited to the price you paid for Observe.
You will protect Tenzari against any claim made by a third party arising from your ownership, use, modification, deployment, sale or distribution of Observe, including the costs of defending that claim.
Because Observe is delivered digitally and cannot be returned, all sales are final and there are no refunds, except where the law gives you a right that cannot be removed by agreement. The only other exception: Observe is sold once. The sale is complete only when we confirm your payment and send your download link. If your payment reaches us after Observe has been sold to another buyer, or after your hold on it ended, we refund it in full to the account it came from, and no sale takes place.
Delivery is complete when the download link or files are made available to you. The download link stays open for 14 days and allows up to 5 downloads, so please save your copy straight away. By ticking the acceptance box and paying, you confirm that you have read and accepted these terms, that you have the authority to bind yourself or your company, and that you are buying for the purposes of your own business or use.
Nothing in these terms removes a right you have under South African law that cannot lawfully be excluded, or excludes liability for fraud or intentional misconduct. If any part of these terms is found unenforceable, that part is reduced to what the law allows and the rest continues to apply.
These terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction. They are the whole agreement between you and Tenzari for this sale and replace anything said or written before it. The version of these terms shown when you buy is the one that applies to you.
